By accessing or using the FaceMed website (facemed.ai) and platform (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Services. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
FaceMed provides an AI-powered patient intake platform that enables healthcare providers to collect structured clinical histories before patient encounters. The platform includes AI-guided patient conversations, clinical note generation, and related tools for physicians and healthcare organizations.
The Services are intended for use by licensed healthcare providers, healthcare organizations, and their authorized representatives within the United States. By using the platform, you represent that you are authorized to practice medicine or administer healthcare services in your jurisdiction, or are an authorized representative of such an entity.

FaceMed is a clinical workflow tool, not a medical device. The AI-generated intake notes are intended to assist physicians and are not a substitute for professional clinical judgment. All clinical outputs must be reviewed and approved by a licensed healthcare provider before use in patient care. FaceMed does not provide medical advice, diagnosis, or treatment.
FaceMed processes Protected Health Information (PHI) in accordance with the Health Insurance Portability and Accountability Act (HIPAA). We will enter into a Business Associate Agreement (BAA) with healthcare providers as required. Our data practices are described in our Privacy Policy.
All content, features, and functionality of the Services, including but not limited to software, algorithms, text, graphics, logos, and trademarks, are owned by FaceMed, Inc. and are protected by U.S. and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.
Access to the FaceMed platform is provided on a subscription basis. Pricing, billing terms, and payment schedules are established in your organization’s service agreement. Failure to make timely payments may result in suspension or termination of access.
To the maximum extent permitted by law, FaceMed, Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services, including but not limited to loss of data, revenue, or clinical outcomes. Our total aggregate liability shall not exceed the amount you paid to FaceMed in the twelve (12) months preceding the event giving rise to the claim.
You agree to indemnify and hold harmless FaceMed, Inc. from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, your violation of these Terms, or your violation of any applicable law or regulation.
We may suspend or terminate your access to the Services at any time for violation of these Terms or for any reason with reasonable notice. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) shall survive.
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on our website. Your continued use of the Services after modifications constitutes acceptance of the updated Terms.
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.
